Vista Ventures, a US firm specializing in seed and venture capital, has the experience and expertise to:

• Determine the strengths and weaknesses of your business in the eyes of potential investors.
• Help you to prepare written materials and oral presentations that show the potential of your firm in the best possible light.
• Help determine the appropriate valuation of the firm in order to maximize its potential.
• Identify venture capital funds, private equity investors, "special situation" funds, mezzanine funds and individual investors with an interest in high growth firms in emerging markets.
• Introduce your firm to potential investors and begin negotiations on terms that are attractive to you.
• Advise your management from the initial meeting, through the due diligence and negotiation processes, to the closing of the deal.

Vista Ventures is looking for qualified businesses interested in attracting investment capital from the US and Europe. We specialize in finding equity capital for small and medium sized enterprises. Qualified candidates should be able to demonstrate:

• A business model with a distinct competitive advantage in local, national or international markets.
• At least two years in business with annual sales of at least US$500,000 in the most recent year.
• Increasing profitability.
• Accounting and legal records in good order.
• A management team that demonstrates competence and commitment to the business, integrity in its affairs and a willingness to share risks and rewards with outside investors.
• A desire to raise and invest at least US$1 million in the business.

Firms who wish to be represented by Vista Ventures should prepare and send the following information:

• A business plan or description of the business opportunity which clearly demonstrates the business model and its competitive advantage.
• Analysis of its market size and rate of growth (by market segment, if appropriate), profile of its customers, and analysis of its existing competitors.
• Financial statements (balance sheet and profit and loss statement) for each of the last three years (or less if the business has not existed for that period) and statements for the most recent month or quarter.
• Complete resumes of the owners and management team for the firm.
• A list of the specific uses for the funds which are to be raised.
• Additional information may also be requested.

Upon receipt of this information, Vista Ventures will conduct a preliminary analysis of the firm and its market opportunity at no charge. If acceptable, Vista Ventures will visit the firm to discuss the company's potential and plans for capital-raising with the management team. Preliminary market research will also be conducted. This phase of the process will require a payment of up to US$4,000 to cover initial expenses. The fee for the capital-raising, which is separate from payments for expenses, is based on a percentage of the amount raised and is paid only at the closing on the funds. The capital-raising process may require up to a year or more.

Not all candidates for investment capital are accepted by Vista Ventures.
